These Terms apply to all users of our sites, and to any contract between us for the sale of Products to you (Contract). Please read these Terms carefully before ordering any Products or using our services. By registering, visiting our sites, or placing an order, you agree to be bound by these Terms.

2. Online Store Terms & Account Accuracy
2.1 Age Requirements: By agreeing to these Terms, you represent that you are at least 18 years old if purchasing products, or that you are at least the age of majority in your jurisdiction and have given consent for any minor dependents to use this site. 2.2 Account Security & Updates: To place an order, you may be required to create an account. You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers/expiration dates, so that we can complete your transactions and contact you as needed. 2.3 Service Refusal: We reserve the right to refuse service, or refuse/cancel orders at our discretion, including those that appear to be placed by dealers, resellers, or distributors.
3. Our Products & Specifications
3.1 Image Accuracy: The images of the Products on our sites are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your device’s display accurately reflects the colour of the Products. Your Products may vary slightly from those images. 3.2 Handmade Tolerances: Because our Products are mainly handmade, all sizes, weights, capacities, dimensions, and measurements indicated on our site have a 5% tolerance. 3.3 Packaging & Availability: Packaging may vary from that shown on images. All Products are subject to availability. If a Product you ordered is unavailable, we will inform you by email as soon as possible and will not process the order.
4. How the Contract is Formed & Pricing Errors
4.1 Order Process: Our order process allows you to check and amend any errors before final submission. After you place an order online, you will receive an automated email acknowledging receipt. This does not mean your order has been accepted. 4.2 Contract Formation: Our acceptance of your order takes place only when we send you a formal confirmation email that the order has been processed or when we send you a Dispatch Confirmation. The Contract between us is only formed at that exact moment. 4.3 Technical Corrections: We reserve the right to correct any errors, inaccuracies, or omissions (including after an order has been submitted) and to change or update information or cancel orders if any information on the website is inaccurate at any time without prior notice. 4.4 Pricing Errors: If we discover a clear and unmistakable pricing error on our site for a product you ordered, we will inform you and give you the option of continuing the purchase at the correct price or cancelling your order. We will not process your order until we have your instructions. If we cannot contact you, we will treat the order as cancelled and notify you in writing. We are under no obligation to provide the Products to you at an obviously incorrect (lower) price.
5. Prices, VAT, and Modifications
5.1 Price Changes: Prices for our products are subject to change without notice. However, changes will not affect any order which we have already confirmed with a final order confirmation. 5.2 VAT (Value Added Tax): For retail consumers, the price of a Product includes UK VAT (where applicable) at the current rate chargeable in the UK at the point of dispatch. For registered Trade/Business/accounts/international accounts, all quoted prices are exclusive of UK VAT unless expressly stated otherwise in writing. If the statutory rate of VAT changes between your order date and delivery date, we will adjust the VAT you pay, unless you have already paid in full before the change takes effect. 5.3 Delivery Charges: Product prices exclude delivery charges, which are calculated and quoted at the point of checkout or order placement.
6. Payment Terms & Security
6.1 Online Payment: Online orders can be paid via debit or credit card (Visa, MasterCard, American Express). We use Stripe as our secure payment gateway, and transactions are hosted on Secure Socket Layer (SSL) certified pages. Online credit card transactions are processed securely via our merchant services; no credit card details are permanently retained by our store. 6.2 Offline Payment: You may pay offline by providing payment details via telephone, or bank transfer in UK Pounds (GBP), US Dollars (USD), or Euros (EUR). UK residents may also pay by cheque. Payment details given via telephone are destroyed immediately once processed, though encrypted data handles repeat operational adjustments/refunds. 6.3 Advance Payment: Payment for Products and all applicable delivery charges must be made in advance of shipment.
7. Delivery & International Shipping
7.1 Delivery Fulfilment: We will make every effort to fulfil your order by the estimated delivery date set out in the Dispatch Confirmation, unless delayed by an Event Outside Our Control. 7.2 Delivery Address: Delivery is complete when we deliver the Products to the address you provided. We cannot ship to Post Office (PO) Boxes. 7.3 Failed Delivery & Redelivery: If no one is available to accept delivery, the courier will leave instructions to rearrange it. Couriers will generally attempt delivery up to three times, after which the order is returned to us. A redelivery fee will be charged to ship the items out a second time.
7.4 Ownership & Risk: The Products become your responsibility from the completion of delivery. You only own the Products once we have received payment in full, including all applicable delivery charges. 7.5 Protective Disassembly: Some products may arrive disassembled with parts packed in vacuum or other protective packaging to minimize transit damage. In the rare event that parts are damaged in transit, we will dispatch replacements. 7.6 International Duties & Customs: If you order Products for delivery outside the UK, your order may be subject to import duties and taxes applied at the destination country. We have no control over these charges and cannot predict their amount. You are solely responsible for the payment of all import duties, customs fees, and local taxes. You must comply with all applicable laws and regulations of the destination country.
8. Consumer Rights (Returns, Cancellations & Refunds)
Note: This Section 8 applies only if you are purchasing products as a private consumer. It does not apply to trade, business, or commercial clients.
8.1 Statutory Right to Cancel: As a consumer, you have a legal right to cancel your Contract under the relevant consumer protection laws if you change your mind. 8.2 Custom & Bespoke Exclusions: This cancellation right does not apply to any made-to-measure, custom-made, special order, customized finishes, or off-catalogue products. 8.3 Cancellation Window: You have a period of 30 working days to cancel your order, starting from the day after you receive the Products. "Working days" excludes Saturdays, Sundays, and public holidays. 8.4 How to Notify Us: To cancel, you must contact us in writing by emailing office@italian-lighting-center.com or writing to our registered office / trading address. The cancellation is legally effective from the date you send the email or post the letter. 8.5 Returns Timeline & Care: If the Products have been delivered, you must return them to us (or make them available for collection) as soon as reasonably practicable, and no later than 30 calendar days from your notice. You have a legal obligation to keep the Products in your possession and take reasonable care of them while they are in your custody. 8.6 Refunds: We will refund the price paid for the Products along with standard outbound delivery charges within 30 calendar days of receiving your cancellation notice. Refunds are processed back to the original credit/debit card, bank transfer account, or via cheque. If you return products because they are faulty or mis-described, we will refund the product price in full, along with standard delivery charges and reasonable costs incurred by you in returning the item.
9. Trade and Business Customer Terms
Note: This Section 9 applies only to registered, bona fide business and trade customers.
9.1 Authority to Bind: If you are not a consumer, you confirm that you have formal authority to bind any business on whose behalf you use our sites to purchase Products. 9.2 Written Orders & Quotations: We prefer all trade orders to be in writing. Where a telephone order is placed, a written confirmation is required; if none is issued, the risk for order accuracy rests entirely with you. Receipt of your deposit or payment acts as automatic acceptance of our quotation or proforma invoice. Trade quotations are open for acceptance within 30 days unless withdrawn earlier. 9.3 Trade Payments: Proforma trade accounts must be paid in full prior to order acceptance unless credit terms have been formally agreed in writing. Monthly credit accounts are subject to bank and trade references, with payments due no later than the end of the month following the month of dispatch. 9.4 Passing of Title & Retention: Risk passes to the business buyer upon delivery. However, legal ownership of the goods remains with us until all outstanding payments owed to us are settled in full. While our ownership continues, you must keep the goods separate and identifiable as our bailee. You irrevocably grant us the right to enter your premises to repossess goods if debts are overdue. 9.5 B2B Claims for Damage or Shortage: In the case of alleged shortage or damage, business clients must submit a written claim to us and the carriers within 3 days of receipt. Claims made outside this 3-day window cannot be entertained. Delivery notes signed "Unexamined" are insufficient to uphold a claim; if a package arrives damaged, the driver's receipt must be endorsed as 'Received Damaged' or the delivery must be rejected. Non-delivery must be advised within 7 days of dispatch notification. 9.6 Trade Returns Policy: Goods ordered by a business and correctly supplied by us cannot be returned. Special, off-catalogue, and bespoke orders are non-returnable under any circumstances. If a trade item is found to be legitimately defective, we reserve the right to repair or replace the item at our discretion. We assume no responsibility for defective material after it has been cut, altered, or manipulated.
10. Warranties & Limitations of Liability
10.1 Manufacturer Guarantees: Some Products come with a manufacturer's guarantee. Please refer to the documentation provided with the product for details. For consumers, this is in addition to your statutory rights. 10.2 Company Product Warranty: For items without a specific manufacturer guarantee, we provide a warranty that on delivery and for a period of 6 months from delivery, the Products shall be free from material defects. This warranty does not apply to defects arising from:

Fair wear and tear;

Wilful damage, abnormal storage or working conditions, accidents, or negligence by you or a third party;

Failure to operate or use the Products in accordance with user/installation instructions;

Any alteration, manipulation, or repair by you or an unauthorized third party;

Any custom specifications provided by you.
10.3 Exclusions Permitted by Law: Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any liability which cannot be limited by English law. 10.4 Liability Limit (Business): If you are a business customer, we will under no circumstances be liable to you in contract, tort (including negligence), or breach of statutory duty for any loss of profits, sales, business revenue, data, anticipated savings, goodwill, or any indirect or consequential loss. Our total liability to you for all other losses arising under or in connection with the Contract shall not exceed 100% of the price of the Products purchased. All implied statutory conditions or warranties as to quality or fitness for purpose are excluded to the fullest extent permitted by law. 10.5 Liability Limit (Consumer): If you are a consumer, if we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or negligence. We only supply products to consumers for domestic and private use. You agree not to use the products for commercial or resale purposes, and we have no liability to you for business losses or interruptions.
11. Digital Operational Policies (Tools, Links & Comments)
11.1 Optional Third-Party Tools: We may provide you with access to third-party tools (such as shipping calculators or payment processors) which we do not monitor or control. You acknowledge that we provide access to such tools "as is" and "as available" without any warranties, endorsements, or conditions. Any use by you of optional tools offered through the site is entirely at your own risk and discretion.
11.2 Third-Party Links: Certain content, products, and services available via our site may include materials from third parties. Third-party links on this site may direct you to external websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials, websites, products, or services.
11.3 User Comments & Submissions: If you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, or by postal mail (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us. We are under no obligation to maintain any comments in confidence, pay compensation, or respond to comments. You are solely responsible for the legality and accuracy of any comments you make.
12. Websites Acceptable Use Policy

13. General Legal Provisions
13.1 Indemnification: You agree to indemnify, defend, and hold harmless The Italian Lighting Centre Limited, our affiliates, partners, officers, directors, agents, contractors, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms, or your violation of any law or the rights of a third party. 13.2 Severability: Each clause and paragraph of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. 13.3 Transfer of Rights: We may transfer our rights and obligations under a Contract to another organization, but this will not affect your rights or our obligations under these Terms. You may only transfer your rights or obligations under these Terms to another person if we agree in writing. 13.4 Third-Party Rights: This Contract is between you and us. No other person shall have any rights to enforce any of its terms, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise. 13.5 Entire Agreement: These Terms, along with our Privacy and Cookie Policy, constitute the entire agreement between you and us, superseding any prior agreements, communications, or undertakings.
13.6 Governing Law & Jurisdiction:

Consumers: These terms are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. Residents of Scotland or Northern Ireland may also bring proceedings in their respective home courts.

Business/Trade: These terms, their subject matter, and formation (including non-contractual disputes or claims) are governed exclusively by English law. Both parties agree to the absolute and exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
We reserve the right to update, change, or replace any part of these Terms from time to time to reflect operational changes, payment updates, or shifts in relevant laws and regulatory requirements. Every time you wish to order Products, please check this page to ensure you understand the terms which apply at that time. The date of the most recent revision will always be displayed below.
